1. Information About Padocare

1.1 Who we are. We are Padocare ("Padocare", "we", "us", "our"), operating through DAISBOX.COM GLOBAL LTD, a company incorporated in England with company number 15570593, and a registered office address at Sunderland Software Center, Tavistock Place, Sunderland, England, SR1 1PB.

1.2 What we do. We own, operate and manage the Padocare mobile application, web platform, and AI-powered healthcare staffing services (collectively the "Padocare Platform"). Our 42-factor AI matching system connects healthcare workers with suitable care assignments while providing comprehensive workforce management tools.

1.3 Who the Padocare Platform is for.

  • Healthcare Agencies or Agencies: Organizations providing healthcare staffing services, including care home recruitment, NHS temporary staffing, and domiciliary care placement
  • Healthcare Workers or Carers: Licensed healthcare professionals, care workers, and support staff seeking assignments through agencies
  • Care Recipients: Individuals receiving care services facilitated through our platform
  • Family Members: Approved relatives and designated contacts with explicit consent for care coordination access

1.4 What the Padocare Platform does:

  • 42-Factor AI Matching: Advanced algorithm matching healthcare workers to optimal assignments based on skills, location, experience, preferences, and weather conditions
  • Real-time Scheduling & Weather Integration: Intelligent shift planning with weather-aware optimization and route planning
  • GPS-Verified Attendance: Location tracking for shift verification, compliance monitoring, and accurate travel mileage calculation
  • Automated Compliance Management: CQC compliance tracking, DBS monitoring, qualification verification, and regulatory reporting
  • Digital Care Records: Comprehensive documentation, incident reporting, and care continuity management
  • Integrated Payroll & Analytics: Automated timesheet processing, payment calculation, and performance analytics

1.5 Registration Required. Full access to the Padocare Platform requires user registration and acceptance of these terms.

1.6 Age Restriction. Access to the Padocare Platform by anyone under 18 is expressly prohibited.

2. Padocare Terms

2.1 Acceptance of Terms. Your use of the Padocare Platform is subject to these Terms & Conditions ("T&Cs"). By accessing or using any part of our platform, you agree to be bound by these terms, our Privacy Policy, Cookie Policy, and AI Ethics Guidelines.

2.2 Additional Terms. These T&Cs incorporate:

  • Padocare Privacy Policy (compliant with UK GDPR and healthcare data protection requirements)
  • Customer Payment Terms and Service Level Agreements
  • AI Processing and Data Use Guidelines
  • Healthcare Professional Code of Conduct

2.3 Updates and Changes. We may update these T&Cs to reflect legal changes, platform enhancements, or regulatory requirements. Under the Digital Markets, Competition and Consumers Act 2024, we will provide clear notification of material changes and ensure transparency in any subscription-related modifications.

3. AI-Powered Healthcare Services

3.1 Technology Service Provision. Padocare provides AI-powered healthcare staffing technology services. We are not a healthcare provider and are not subject to Care Quality Commission regulation for direct care services.

3.2 AI System Limitations. Our 42-factor AI matching system provides recommendations and optimization suggestions. Human oversight remains essential for all healthcare staffing decisions, and agencies maintain full responsibility for final placement decisions.

3.3 Weather and Route Intelligence. Our platform incorporates weather data and route optimization to enhance safety and efficiency. This information is provided for planning purposes only and does not replace professional judgment regarding travel safety.

4. Healthcare Professional Responsibilities

4.1 Professional Standards. Healthcare Workers using our platform must:

  • Maintain current professional registrations and qualifications
  • Comply with all applicable healthcare regulations and professional standards
  • Provide accurate information regarding skills, availability, and preferences
  • Follow agency protocols and client-specific care requirements

4.2 Agency Obligations. Healthcare Agencies must:

  • Conduct appropriate vetting, including DBS checks and qualification verification
  • Ensure compliance with NHS agency rules and CQC requirements
  • Maintain appropriate professional indemnity and public liability insurance
  • Provide accurate job descriptions and client care requirements

5. Data Protection and Privacy

5.1 Healthcare Data Protection. We process health and personal data in accordance with:

  • UK GDPR and Data Protection Act 2018
  • NHS Data Security and Protection Toolkit standards
  • Healthcare-specific data protection requirements

5.2 AI Training and Processing. Our AI systems may use anonymized data to improve matching algorithms. We never sell personal data and maintain strict data governance controls compliant with healthcare regulations.

5.3 Location Data. GPS tracking is used for:

  • Shift verification and attendance monitoring
  • Travel mileage calculation for accurate payment
  • Safety monitoring and emergency response
  • Weather-aware route optimization

6. Consumer Protection Compliance

6.1 Digital Markets Act Compliance. In accordance with the Digital Markets, Competition and Consumers Act 2024:

  • We prohibit fake reviews and implement verification measures for user feedback
  • All pricing information is transparent with no hidden fees ("drip pricing")
  • Subscription services include clear terms, easy cancellation, and appropriate cooling-off periods

7. Liability and Insurance

8.1 Platform Ownership. Padocare and our licensors own all intellectual property rights in our 42-factor AI matching system, platform software, and proprietary algorithms.

8.2 User-Generated Content. Healthcare data submitted to our platform:

  • Remains owned by the submitting party
  • Is licensed to us for service provision only
  • May be used in anonymized form for AI system improvement
  • Is protected by comprehensive data security measures

9. Platform Access and Security

9.1 System Requirements. Users must maintain:

  • Current mobile operating systems (iOS 15+ or Android 12+)
  • Reliable internet connectivity for real-time features
  • Updated security software and device configurations

9.2 Security Obligations. Users must:

  • Maintain confidential login credentials
  • Report security incidents immediately
  • Comply with our cybersecurity policies
  • Use authorized devices and networks only

10. Healthcare Compliance

10.1 Regulatory Compliance. Our platform supports:

  • CQC compliance tracking and reporting
  • NHS standard contract requirements
  • Professional body registration monitoring
  • Safeguarding and incident reporting protocols

10.2 Data Retention. Healthcare records are retained for:

  • Care visit records: 8 years minimum
  • Compliance documentation: 7 years
  • Financial records: 6 years
  • Incident reports: Per regulatory requirements

11. Payment and Subscription Terms

11.1 Pricing Transparency. All pricing is clearly displayed with no hidden charges, complying with 2025 drip pricing regulations.

11.2 Payment Terms:

  • Admin Staff: £87.50-£175/month per user (depending on service tier)
  • Carer Subscriptions: £15-£30/month per registered healthcare worker
  • Enterprise Solutions: Custom pricing based on agency size and requirements

11.3 Subscription Rights. Under the Digital Markets Act 2024:

  • 14-day cooling-off period for new subscriptions
  • Easy cancellation available online
  • Clear renewal notifications 30 days before automatic renewal

12. Termination and Suspension

12.1 Service Termination. We may suspend or terminate access for:

  • Breach of terms and conditions
  • Non-payment of fees
  • Violation of healthcare professional standards
  • Security incidents or misuse

12.2 Data Export. Upon termination, users have 30 days to export their data in standard formats.

13. Dispute Resolution

13.1 Governing Law. These terms are governed by English law, with jurisdiction in English courts.

13.2 Alternative Dispute Resolution. We participate in relevant industry dispute resolution schemes and provide access to the Online Dispute Resolution platform as required.
